b) We may correct any error appearing on the Website or withdraw any product from sale without incurring liability. Price and availability are also subject to change without notice.
c) The colours depicted in artworks on this website may not be accurate, due to the nature of both computer operating system colour palettes and computer monitor displays.
2. Ordering
a) You may order products from the Website by submitting a completed order form through the Check out procedure. All products are subject to availability.
b) We will confirm acceptance of your order by email to the address you have given and the sending of this e-mail (whether or not it is received) makes the contract between us. We reserve the right not to accept an order for any reason.
3. Price and Payment
a) The price of the products will be the price quoted on the Website at the time we accept your order.
b) The price will not include any applicable value-added tax.
c) In addition to the price, you will have to pay our delivery charges as quoted on the Website at the time we accept your order. The amount of these charges vary according to the country of the delivery address you specify in your order.
d) Payment is taken by our preferred electronic payment provider, Stripe/Santander, at the time we accept your order. The credit and debit cards we accept are listed on the Website at the time you place your order. Refunds will generally be made by means of a credit to your electronic payment account.
4. Import duties etc
4.1 If you order Products from our site for delivery outside the UK, they may be subject to import duties and taxes which are levied when the delivery reaches the specified destination. You will be responsible for the payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.
4.2 Please also note that you must comply with all applicable laws and regulations of the country for which the products are destined. We will not be liable for any breach by you of any such laws
5. Delivery
a) We will arrange for delivery of the products you order to the address which you specify in the Check-out procedure. We will endeavor to deliver the products by the delivery date or times stated on the Website. (Fine Art Prints are 14 days from receiving your order) However, the time for delivery will not be essential to the contract between us.
b) If you do not collect the products, take delivery of the products or supply adequate delivery instructions, we may (but are not obliged to) place the products in storage until delivery can be affected and you will be responsible for any additional storage, insurance and delivery charges we incur. We also reserve the right at any time to cancel your order and retain the products. In this event, we will refund you the price of the products, but you will still be liable to pay any storage, insurance, and delivery charges we incur.
c) You must inspect the products as soon as possible following delivery. Any claim for incorrect deliveries, shortages, or damaged products must be notified to us in writing within 7 days from the delivery date. We will not be liable for any loss or damage if you fail to do this.
6. General
a) The Contracts (Rights of Third Parties) Act 1999 shall not apply to any contract between us so that no contractual rights are conferred on third parties.
b) Any contract between us shall incorporate these terms and conditions and be under English law. If there is any dispute, the English Courts will have exclusive jurisdiction.
7. Licence, Copyright, and Unlicensed use notice;
Please note: Stephen Robert Thornton Prints are for personal usage only, and intended for display in the home or other private spaces. For all other uses, such as display in public spaces or institutions, publishing the image online or in print, or any other form of usage, permission must be granted by Stephen Robert Thornton.
(1) Fine Art Prints: The buyer owns (as named within the included embossed certificate) the artwork/print and can re-sell the print to anyone in its original form as a piece of artwork.
(2) Fine Art Prints: The buyer has no rights to copy or print the image via any electronic or analogue media and re-sell the purchased artwork/print. The actual image is solely licensed to the owner only (Stephen Robert Thornton) and no reproduction by any means is allowed. Other than (1).
(3) Online Images: All images on this website, image stock websites, and Google are owned by Stephen Robert Thornton. Any social media forwarding etc is only allowed with permission using the following image credits; Credits to state – Photography by Steve Thornton with a live link to www.stevethornton.co.uk
(4) Unlicensed use: All images are embedded with IPTC and EXIF metadata. To ensure that Stephen Robert Thornton’s image sales are legitimate and protect our customers. Our software continually crawls the internet for unofficial usage. Any unlicensed use will be actioned as of the law without any exception or hesitation.
8. Website Design & Build; Retainers; Handovers;
(1) Website design and build.
a- Style Sheet – fontography, typography, colour swatches.
b- Retain company branding or create new branding.
c- Create a mock-up of a new home page.
d- Discuss all the above with the client.
e- Sign a contract.
f- Build the new website as per above.
g- Final meeting to sign off the new website with the client.
h- Publish the new website to the server.
(2) Retainers
a- As agreed the monthly retainer will be fixed for 1 year from the date of the website’s publishing date.
b- After a year the website can be turned into a monthly maintenance contract. Or Handedover. See (3).
c- Non-payment of the agreed monthly payment will result in the website being switched off after 7 days.
d- Upon full payment of arrears plus a £95.00 administration charge. The website will be published live again.
e- In the event of no retainer payments or the client no longer wishes to publish the/their website within the 1st year period, a charge will be made for the balance of the remaining term.
f- Retainer payments include the items in the original contract between ST Creative and the client. Any extra work in addition to the original contract will be billed to the client.
(3) Handovers
a- Handovers refer to the website and all assets being passed to another web design company or the client.
b- Handovers can only be implemented after the 1st year’s contract has been fulfilled and paid in full.
c- Early handovers can be fulfilled before the year’s contract is met. This will incur the same costs as (2)e.
9. Sale or Return Terms & Conditions for Outlets with Stephen Robert Thornton Stock items
a- All Sale or Return items must have a signed inventory contract including the stated sales commission amount.
b- All Sale or Return items on the signed inventory are the sole responsibility of the outlet/signee.
c- All Sale or Return items on the signed inventory are to be insured by the outlet/signee to the amount stated on the signed inventory.
d- The outlet/signee is responsible for all the items on the signed inventory.
e- All Sale or Return items on the signed inventory must be accounted for by the outlet/signee during any stock check by the owner of the items on the inventory. Advance notice is given to the outlet/signee beforehand prior to any stock check visits.
f- Any lost/damaged/ items from the signed inventory will be invoiced to the outlet/signee at the amount stated on the signed inventory.
g- All payments are to be made upon receipt of an invoice raised by the owner to the outlet/signee.
h- All outstanding debts to the owner of the items will incur 30% charges every/per 30 days in perpetuity until the signed inventory total amount and the interest is settled/paid in full.
i- Any overdue amounts up to and over 70 days will be issued with a court summons.
j- Sales commissions are to be deducted at the outlet per the item/s listed RRP on the signed inventory.
k- No deviation from the RRP of a listed item may be made by the outlet/signee from the inventory unless agreed by the owner.
l- All items on the signed inventory can be collected for return to the owner at any time. Any missing/lost/damaged items from the signed inventory will be charged for at the stated RRP. Sold items will be included in the agreed sales commission.

11. Governing law
Your use of this website and any dispute arising out of such use of the website is subject to the laws of England and Wales.
